Code of Conduct MBecker Engineering

The Code of Conduct is intended to ensure integrity and transparency in our business activities and in our relationships with others.

The Code of Conduct applies to MBecker Engineering. All our business activities must comply with laws, regulations and contractual obligations. Illegal conduct is strictly prohibited. If local laws or regulations permit conduct that does not comply with our Code, our Code shall prevail. All managers are responsible for implementing the Code and must set a good example at all times. The Code of Conduct is an instruction of the management and is an integral part of the employment contract, handed out to all employees. Employees are obliged to comply with it. The Code of Conduct can be accessed at any time via Internet. Violations of the Code of Conduct will not be tolerated; they can cause serious damage to the business, operations and reputation of employees and MBecker Engineering. This can lead to disciplinary measures such as loss of bonuses, career impairments and/or loss of employment. We expect third parties with whom we do business to respect our values and conduct guidelines. We will make every reasonable effort to sensitize third parties to our expectations under the Code and encourage them to apply policies and practices that are comparable to our own. Our Code cannot cover every situation. It is designed to help us use our judgment and common sense to make the right decisions.

1 Integrity

When conducting our business activities in Switzerland and abroad, we comply with the law and the Code of Conduct. We comply with the legal requirements and cooperate with the authorities. We do not offer bribes to anyone and we do not make payments, directly or indirectly (e.g. through intermediaries, consultants, etc.), to government officials (including employees of state-controlled companies) or private individuals. Similarly, we do not grant any other benefits of any kind with the aim of influencing current or future decisions (e.g. generous invitations, gifts or monetary incentives). Similarly, we do not accept bribes. Our business relationships are based on quality and not unfair practices. Theft, embezzlement, fraud, bribery or other criminal offences will not be tolerated in any way and will result in criminal and civil consequences (termination without notice, liability for damages, reporting to the prosecution authorities if necessary).

2 Dealing with gifts, invitations, and other benefits

Gifts, invitations and other benefits must never be accepted, promised or given with the intention of influencing a decision to be made by persons, a company or an authority. Gifts, invitations or other benefits of low commercial value are permitted if they are given as a common sign of appreciation in a business or social context, for advertising purposes or for legitimate customer care. Payments or donations to elected officials, political parties or their representatives are permitted only where such payments or donations are permitted by law and are not linked to specific expectations. Agreements with consultants, brokers, sponsors, agents or other business partners may not be used for the purpose of making payments to third parties in order to conclude a transaction.

3 Conflicts of interest

Conflicts between personal interests and the interests of MBecker Engineering are to be avoided. If conflicts of interest nevertheless arise or if there is uncertainty as to whether such conflicts exist, this must be disclosed immediately. The principle of self-declaration applies (duty of disclosure). The duty of loyalty to MBecker Engineering has priority. Competition is strictly prohibited.

4 Safety, protection of people and the environment

Safety and sustainability as well as the protection of people and the environment are important at MBecker Engineering. Sustainable business activities and corporate social responsibility (CSRI) are of paramount importance. The relevant safety, occupational health and safety and environmental protection regulations must be observed. We make our decisions with care at all times, taking appropriate account of the risks associated with our business. We acknowledge our personal responsibility for our own safety and that of our employees and the environment, and immediately notify our supervisors of any accidents, hazardous work practices or safety deficiencies.

5 Fairness and protection of personal rights

We treat each other with respect and dignity. Discrimination of any kind, especially based on gender, race, sexual orientation, color, religion, age, national origin, disability, membership in a trade union or political party, marital status or military affiliation is strictly prohibited. Harassment of any kind will not be tolerated. We respect privacy and protect the personal data of employees, customers and business partners in accordance with the law.

6 Communication / Dealing with confidential information / Data

Confidential, non-public information concerning MBecker Engineering of which we as employees are aware must remain confidential. Where this concerns business or trade secrets, their disclosure can lead to considerable damage. Such information is protected from misuse by criminal law - even after termination of employment or mandate. No information, documents or data storage devices etc. belonging to the company may be passed on to third parties without the express written consent of the competent authority. Strict confidentiality must be maintained with regard to investment or disposal projects, negotiations, pending changes within the management, ongoing or threatened legal proceedings, strategies, budgets, business plans, personal data, IT concepts, etc. The information must not be disclosed to third parties. Statements about customer relations, competitors, ongoing investigations, projects in the evaluation stage, affairs of individual employees or rumours are to be omitted in principle.

7 Fair competition

We are bound by the principle of fair competition and are committed to fairness and integrity in competition with other market participants. We work with business partners who share our values and who respect the business principles of this Code of Conduct. To achieve this, it is necessary to comply with competition and antitrust laws. We ensure that MBecker Engineering is not misused for money laundering or other illegal financial transactions. MBecker Engineering complies with the tax laws of the countries in which it operates. Tax evasion or other tax offences are strictly prohibited. Trade and economic restrictions applicable to MBecker Engineering transactions (embargos and import and export controls) must be respected at all times in international business transactions.

8 Implementation

At MBecker Engineering everybody is personally responsible for compliance with the Code of Conduct, must comply with it in his or her day-to-day business activities and must take appropriate measures to protect others from non-compliance. We place value on a work environment where everyone is familiar with the content of the Code of Conduct and where compliance is communicated, lived and monitored by employees and supervisors. No one who reports (suspected) violations of the Code of Conduct in good faith may be disadvantaged in any way (protection of whistleblowers). Violations of the Code of Conduct will not be tolerated at MBecker Engineering. Disciplinary measures may consist of a warning or written warning, but may also lead to termination of employment. Violations of the law may also result in criminal prosecution.

9 Date of entry into force and publication

This Code of Conduct is published in English on the Internet and applies to MBecker Engineering in Switzerland and abroad. The Code of Conduct has been in force since December 15, 2019.
